DEMYSTIFYING M&A SERIES: 5th Edition

The 5th edition of the RFMLR Demystifying M&A Series featured an engaging and intellectually enriching Certificate Course led by Mr. Prateeka Shankar, Partner at Talwar Thakore & Associates (TT&A) and a distinguished alumnus of Rajiv Gandhi National University of Law, Punjab. The agenda for the session was “Navigating the Evolving Regulatory Landscape: Impact on M&A and Corporate Governance." This session marked a milestone moment as it was the first-ever offline edition of the Demystifying Series to be hosted on the RGNUL campus, making the experience particularly special and memorable for all attendees. The atmosphere was filled with anticipation and excitement as students and faculty members gathered to interact with a speaker who not only brought immense professional expertise but also shared a deep connection with the university.

Mr. Shankar’s session stood out for the clarity and simplicity with which he explained complex corporate and financial concepts. He guided the audience through the life cycle of an investment, outlining how businesses progress from angel investors and venture capitalists to private equity funding and eventually to Initial Public Offerings (IPOs). His engaging style and lucid explanations made the discussion both captivating and deeply informative, enabling students to connect theoretical knowledge with the realities of corporate practice.

He also elaborated on the dynamics of mergers and acquisitions, offering insights into how companies identify strategic opportunities and why billion-dollar acquisitions sometimes involve loss-making entities based on their long-term potential, market positioning, and the value of customer data. Mr. Shankar further discussed the valuation of companies, the book-building process in IPOs, and the importance of fair valuation during share buy-backs, weaving together practical examples and legal reasoning to provide a comprehensive understanding of how corporate transactions unfold in the real world. His ability to break down such intricate subjects reflected his deep command over the field and his commitment to making business law accessible to aspiring lawyers.

Throughout the session, Mr. Shankar maintained an approachable and engaging demeanour, encouraging students to share their thoughts and clarify doubts. His reflections on the intersection of law, finance, and business strategy highlighted how lawyers play a pivotal role in shaping and facilitating commercial decision-making. The session evolved into a lively exchange of ideas, with students asking thought-provoking questions on valuation, shareholder rights, and regulatory nuances.
