DEMYSTIFYING M&A SERIES: 6th Edition
The 6th edition of the RFMLR Demystifying M&A Series featured an engaging and insightful Certificate Course led by Mr. Prateeka Shankar, Partner at Talwar Thakore & Associates (TT&A) and a distinguished alumnus of Rajiv Gandhi National University of Law, Punjab. The session, held online, focused on “India’s Evolving FDI Regime” and offered students an opportunity to understand the changing regulatory landscape governing foreign investment and cross-border M&A transactions in India.
Mr. Shankar introduced the participants to the broader significance of FDI in India and the regulatory framework that governs foreign investment. Through practical insights, he explained how the various components of the FDI regime operate and highlighted the considerations that lawyers must account for when advising on transactions involving foreign investors. His approach helped connect the regulatory framework with its implications for corporate and transactional practice. A key aspect of the discussion was the evolution of Press Note 3 (2020) and the changes introduced through the 2026 recalibration of the FDI regime. Mr. Shankar explored the changing approach towards beneficial ownership and foreign investments from land-border-sharing countries, while highlighting how these developments have influenced the structuring and regulatory assessment of cross-border transactions.
The session further delved into the practical dimensions of cross-border M&A, including transaction structuring and the interaction between different regulatory frameworks. Mr. Shankar’s discussion demonstrated how regulatory considerations can shape the manner in which transactions are planned and executed. The session also featured a practical case study, allowing participants to engage with the concepts discussed and appreciate the challenges that may arise while navigating a cross-border acquisition.
The 6th RFMLR Demystifying M&A Series was an enriching experience that brought together academic understanding and practical perspectives on contemporary corporate and M&A practice. RFMLR extends its sincere gratitude to Mr. Prateeka Shankar for his time and valuable contribution, and to all the attendees who made the session a success. The Series continues to foster meaningful engagement between legal education and professional practice, providing students with opportunities to engage with complex areas of business law through insightful conversations with practitioners.
